Sampling is when only a portion of the music is used and integrated into a new song (rap artists do this a lot, repeating the sample for a beat) These samples must be used with permission or else a legal fight could follow.
In Ayumi's case, she uses the entire song and just sings her own lyrics. In Japan, this constitutes a cover. Even though the lyrics aren't the same as the original, the music still is.
